TERMS OF USE
Gift Registry mini on the Shop app

1. About these Terms
These Terms of Use (“Terms”) govern your use of Gift Registry (the “Mini”), which is made available within the Shopify Shop app.
By accessing or using the Mini, you agree to be bound by these Terms. If you do not agree, do not use the Mini.
These Terms are between you and Sundae Lane Pty Ltd (ACN 666 645 263) (“we”, “us”, “our”). We are independent from Shopify Inc., Shopify Australia Pty Ltd and their related entities (together, “Shopify”).
These Terms are in addition to the terms and policies that apply to your Shopify account, the Shop app, and any merchant store where you make purchases.
For the purposes of these Terms, “User” means any person who accesses or uses the Mini in any way, including:
- Registry owners who create and manage registries;
- Collaborators who are granted access to help manage registries; and
- Visitors or buyers who view registries, reserve items, or mark items as purchased.
2. What the Mini Does
The Mini is a gift registry experience available inside the Shop app. In summary, the Mini allows you to:
- Create one or more gift registries for events (for example, baby, wedding, birthday, holiday);
- Add products from one or more Shopify merchant stores to your registries;
- Manage registry settings (such as event details and visibility);
- Share registries with others using links or other sharing tools provided in Shop;
- Allow friends and family to “reserve” or “claim” items on a registry to help avoid duplicate gifts; and
- Optionally collaborate with others to manage a registry (for example, co-owners or contributors).
The Mini does not:
- Process payments or store payment card details;
- Create or manage orders in merchant stores on your behalf; or
- Guarantee product availability, pricing, shipping, delivery or returns.
All purchases of products are made directly with merchants, subject to the merchant’s own terms and conditions and privacy policy, as well as Shopify’s terms and policies.
3. Relationship with Shopify and Merchants
- The Mini is developed and operated by us, not by Shopify.
- Shopify provides the Shop app, your Shop account and the underlying platform that allows the Mini to run.
- Merchants list and sell products through their own Shopify stores. We do not own, manufacture, or fulfil those products.
You acknowledge that:
- Your use of the Shop app is governed by Shopify’s terms and policies;
- Your purchases from merchants are governed by the merchant’s terms and policies; and
- We are not responsible for Shopify’s services or for any merchant, product, order, shipping, return, refund or warranty.
4. Eligibility and Access
To use the Mini, you must:
- Have a valid Shop account and comply with Shopify’s terms and policies;
- Be at least the minimum age required under the laws of your country to use the Shop app (or have parental/guardian consent where applicable); and
- Be able to enter into a binding contract with us.
We do not create or manage your Shop account. We never see your Shop password.
5. Registries, Reservations and Purchases
5.1 Registries
When you create a registry, you may be able to configure:
- Event information (for example, title, type and date of an event);
- Visibility (such as public, unlisted, or private);
- Sharing options (such as share links or codes); and
- Collaboration settings (for example, owners, collaborators, viewers).
You are responsible for ensuring that registry information you provide is accurate and up to date.
5.2 Reservations and “Claims”
The Mini may enable features such as “reserve”, “claim”, “mark as purchased” or similar (collectively, “Reservations”), which allow a person to indicate they intend to buy an item, or have bought an item, from a merchant store.
You acknowledge and agree that:
- Reservations are informational only and exist solely within the Mini;
- Reservations do not hold stock, place an order, charge a payment method, or guarantee that a product will be available at any given price or time;
- Reservations and any “purchased” markings may rely on self-reporting by users and may not always reflect what has actually been bought; and
- You should not rely on Reservations as a substitute for confirming with the relevant person whether an item has been purchased.
5.3 Purchases
Any purchase you make of products displayed in a registry is between you and the relevant merchant. We do not:
- Act as the merchant of record;
- Process or settle payments;
- Determine product descriptions, pricing, shipping costs, taxes or duties; or
- Provide customer support in relation to orders, shipping, returns, refunds, warranties or product defects.
You must direct any questions or complaints relating to orders to the relevant merchant or to Shopify (where applicable).
6. Your Responsibilities
You agree that you will:
- Use the Mini only for lawful purposes and in accordance with these Terms;
- Provide information that is accurate and not misleading;
- Respect any visibility and sharing settings you configure, and understand that sharing registry links may allow others to access registry content;
- If you reserve or mark an item as purchased, do so honestly and in good faith, understanding that registry owners and other users may rely on that information to avoid duplicate gifts; and
- Comply with all applicable laws, including consumer and privacy laws in your jurisdiction.
You must not:
- Use the Mini to harass, threaten, abuse, defame or otherwise cause harm to any person;
- Post or transmit content that is illegal, offensive, infringing, fraudulent or harmful;
- Attempt to gain unauthorised access to the Mini, the Shop app, our systems or other users’ accounts;
- Interfere with or disrupt the operation of the Mini or any associated networks;
- Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code or underlying concepts of the Mini, except to the extent this restriction is prohibited by law; or
- Use automated tools (such as bots or scrapers) to access the Mini in a way that could affect performance or security.
You are responsible for any activity carried out using your Shop account in connection with the Mini.
7. Content and Intellectual Property
7.1 Your Content
“Your Content” means any information you submit or display through the Mini, including registry names, event details, messages, notes, and other user-generated material.
You retain ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to use, host, reproduce, modify, and display Your Content as necessary to operate, improve and provide the Mini, and to develop new features and related services.
You promise that:
- You have the rights needed to grant us this licence; and
- Your Content does not infringe any third-party rights, or violate any law or these Terms.
We may remove or disable access to any content we reasonably believe breaches these Terms or applicable law.
7.2 Our Intellectual Property
We (and our licensors) own all rights, title and interest in and to the Mini and all related intellectual property, including all software, designs, text, graphics, logos and documentation, excluding Shopify’s and merchants’ trademarks, logos and content.
You are granted a limited, non-exclusive, revocable, non-transferable licence to use the Mini solely for your personal, non-commercial use within the Shop app and in accordance with these Terms.
You must not use our name, logo, or trademarks without our prior written consent.
8. Fees, Monetisation and Affiliate Relationships
8.1 End-User Fees
At the time these Terms were last updated, we do not charge end users a separate fee to use the Mini.
8.2 Monetisation and Affiliate Links
The Mini may:
- Display products, offers or placements that are monetised through Shopify or merchants;
- Use affiliate, referral or tracking links; and/or
- Receive commissions, incentives, or other forms of compensation from Shopify or merchants when you purchase products after interacting with the Mini or specific registries.
Any such monetisation:
- Does not change the price you pay for products (as far as we are aware); and
- Does not make us a party to your transaction with the merchant.
We may also use aggregated or anonymised usage data to analyse performance of registries and to support affiliate or attribution reporting.
9. Data and Privacy
Our handling of information in connection with the Mini is described in the Gift Registry mini Privacy Policy, which is incorporated by reference into these Terms.
By using the Mini, you acknowledge that we will collect, use and share information as described in the Privacy Policy, including for purposes such as:
- Providing and improving the Mini;
- Supporting registry and reservation features;
- Performing analytics and service monitoring; and
- Supporting current and future monetisation models.
10. Third-Party Services and Dependencies
The Mini relies on:
- Shopify and the Shop app;
- One or more merchants’ Shopify stores; and
- Third-party hosting, infrastructure, monitoring and analytics providers.
We are not responsible for:
- The availability, performance or security of Shopify or any merchant store;
- Third-party websites or apps linked from the Mini; or
- The accuracy, completeness or legality of information provided by third parties.
Your use of third-party services may be subject to separate terms and privacy policies.
11. Disclaimers
To the maximum extent permitted by law, the Mini is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title or non-infringement.
Without limiting the above, we do not warrant that:
- The Mini will be uninterrupted, error-free, secure, or compatible with every device;
- Product information, pricing, availability or images shown in the Mini are accurate, complete or up to date (these are provided by merchants and may change); or
- Reservations, registry visibility or sharing features will always function as expected.
Nothing in these Terms is intended to exclude or limit any rights or remedies you may have that cannot be excluded or limited under applicable law (for example, certain rights under the Australian Consumer Law).
12. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for:
- Any indirect, incidental, special, consequential or punitive damages;
- Any loss of profits, revenue, goodwill, data or business opportunities; or
- Any loss or damage arising from:
- Your use of, or inability to use, the Mini;
- Any act or omission of Shopify or any merchant;
- Any product purchased from a merchant store; or
- Any unauthorised access to or alteration of your transmissions or data.
Where our liability cannot be excluded under applicable law, but may be limited, our total liability to you for all claims arising out of or in connection with the Mini or these Terms, whether in contract, tort (including negligence) or otherwise, will be limited to the greater of:
- The amount you have paid us (if any) to use the Mini in the 12 months preceding the claim; and
- AUD $50.
13. Indemnity
You agree to indemnify and hold us, our directors, officers, employees and contractors harmless from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of these Terms;
- Your misuse of the Mini; or
- Your Content or any activity conducted through your Shop account in connection with the Mini.
This indemnity does not apply to the extent any claim is caused by our own negligence or wilful misconduct.
14. Suspension and Termination
We may suspend or terminate your access to the Mini (in whole or in part) at any time, with or without notice, if:
- We reasonably believe you have breached these Terms or applicable law;
- We need to do so for security, maintenance or technical reasons; or
- Shopify or a relevant platform provider restricts our ability to provide the Mini.
You may stop using the Mini at any time. If you uninstall or stop using the Mini, some information (for example, registry data or log data) may continue to be retained as described in our Privacy Policy.
We are not liable to you for any loss or damage arising from any suspension, modification or termination of the Mini, to the extent permitted by law.
15. Changes to the Mini or these Terms
We may update the Mini and these Terms from time to time. If we make material changes, we will update the “Last updated” date above and may provide additional notice within the Mini or through other reasonable means.
Your continued use of the Mini after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to any changes, you must stop using the Mini.
16. Governing Law
These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles. You and we submit to the exclusive jurisdiction of the courts of Victoria, Australia, and any courts that may hear appeals from those courts.
If you are a consumer and local mandatory consumer protection laws require the application of different laws or jurisdiction, those requirements will prevail.
